aside from being a bit soft (i kinda like it though) what isnt working in this shot, I cant nail it. thanks.

For what it's worth..

I think there is no clear , outstanding object for my eyes to focus on ( which is even harder as it is "soft" )

I can understand that the tree is meant to be the subject of interest, but it is too cluttered by the fencing behind it.

I think a more sparse view of the tree would give the feeling you are looking for..
 
I think the empty foreground in the lower left is what ends up being the focal point, just the way it's composed. I like to see less of that and more of the tree. I like the path leading in from the right there. I think with more of the upper part of the tree, and this path leading into it, you'd have a more interesting photo.

Also, I don't know if it's jpg compression or what, but it looks over sharpened, and over contrasty, almost "clumpy".
 
whoa...creepy. looks like snow :)

maybe too much space at the bottom. or the angle.
