I'm not 100% certain (I'm not a Nikon guy) but I'd bet that it would fit...and autofocus as well.

Like already said, it will fit but will not auto focus. It uses AF-D auto focus, while the D40 only uses the modes up to AF-C.

Yep, it will not autofocus. You need a Sigma lens with HSF for autofocus to work, or a Nikon with AF-S. I have 2 Sigma HSF lenses and they work perfectly on my D40, I love them! (Sigma 10-20 and 50-150 f2.8).

Is this the same lens? if it is than it will autofocus because it has built in motor in it. Look the same to me though.

Btw I think Mav or other poster has posted list of lenses that are compatible with d40 in the past, the link is below here from the nikonian.
